1. Scope of Services

PcTs provides consulting, advisory, technical, and knowledge-based services including but not limited to:

  • Scientific, laboratory, and research consulting

  • Industrial, engineering, defense, and technology advisory

  • Optical, photonics, laser, and communication systems consulting

  • Biomedical and healthcare technology advisory

  • Renewable energy and EV technology consulting

  • Technical specification preparation, evaluation, and documentation

  • Technology feasibility, compatibility, and capital asset advisory

The exact scope, deliverables, timelines, and fees shall be defined in a written proposal, agreement, or work order.


2. Nature of Consultancy

  • All services are advisory and technical in nature.

  • PcTs does not guarantee specific financial, operational, or commercial outcomes unless explicitly stated in writing.

  • Final decisions, implementation, procurement, and execution remain the responsibility of the client.


3. Client Responsibilities

The client agrees to:

  • Provide accurate, complete, and timely information required for service delivery

  • Ensure access to relevant facilities, personnel, and documentation

  • Obtain necessary statutory, regulatory, and internal approvals

  • Use PcTs recommendations responsibly and within applicable laws and standards

PcTs shall not be liable for delays or inaccuracies arising from incomplete or incorrect client inputs.


4. Fees & Payment Terms

  • Fees shall be as agreed in the proposal or contract.

  • Payments must be made within the agreed timeframe.

  • Delayed payments may attract interest or suspension of services.

  • Taxes, duties, or statutory charges shall be borne by the client unless otherwise specified.


5. Confidentiality

  • Both parties agree to maintain confidentiality of proprietary, technical, commercial, and sensitive information.

  • Confidential information shall not be disclosed to third parties without prior written consent, except where required by law.

  • This obligation survives termination of the engagement.


6. Intellectual Property Rights

  • All reports, documents, designs, analyses, and technical outputs prepared by PcTs remain the intellectual property of PcTs unless otherwise agreed in writing.

  • Clients are granted a limited, non-transferable right to use deliverables solely for the intended project purpose.

  • Unauthorized reproduction or redistribution is prohibited.


7. Limitation of Liability

  • PcTs shall not be liable for indirect, incidental, consequential, or economic losses.

  • Liability, if any, shall be limited to the fees paid for the specific service.

  • PcTs is not responsible for vendor performance, third-party products, or implementation outcomes.


8. Compliance & Ethics

PcTs operates with professional integrity and expects clients to comply with applicable laws, regulations, safety standards, and ethical practices. PcTs reserves the right to terminate services if unlawful or unethical activities are identified.


9. Termination

  • Either party may terminate the engagement with written notice as per agreed terms.

  • Fees for work completed up to the termination date shall remain payable.

  • Confidentiality and intellectual property clauses shall survive termination.


10. Force Majeure

PcTs shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, government actions, strikes, or technical failures.


11. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts.


12. Amendments

PcTs reserves the right to modify these Terms & Conditions at any time. Updated terms will be effective upon publication or communication.
